Legal Manager (Real Estate Developer)

Job Description

We are seeking a highly experienced Legal Manager with a strong background in UAE real estate development, construction law, corporate legal affairs, and regulatory compliance.

The successful candidate will be responsible for managing the company's legal matters, drafting and reviewing contracts, providing legal advice to senior management, ensuring regulatory compliance, and protecting the company's legal and commercial interests.

Key Responsibilities

Real Estate & Development Legal Matters

• Provide legal support for real estate development projects in Dubai and Sharjah.
• Draft, review, and negotiate real estate development agreements, joint venture agreements, SPAs, MOUs, and other commercial contracts.
• Handle legal matters related to land acquisition, property transactions, and development partnerships.
• Ensure compliance with applicable RERA, DLD, and Sharjah real estate regulations.
• Advise management on legal risks associated with new projects and investments.

Contract Management & Legal Advisory

• Draft, review, and negotiate construction contracts, consultancy agreements, contractor agreements, and supplier contracts.
• Advise on FIDIC contracts, contractual disputes, variation claims, and project-related legal risks.
• Provide legal opinions and recommendations to the CEO and senior management.
• Support commercial and procurement teams in contract negotiations.

Corporate Legal & Compliance

• Ensure compliance with applicable UAE corporate, commercial, and real estate laws.
• Manage corporate legal documentation, company agreements, and regulatory requirements.
• Coordinate with government authorities, external legal consultants, and law firms.
• Monitor legislative and regulatory developments affecting company operations.

Litigation & Dispute Management

• Manage legal disputes, claims, and litigation matters in coordination with external counsel.
• Oversee legal notices, settlements, and dispute resolution processes.
• Maintain proper records of legal cases, contracts, and documentation.
• Develop strategies to minimize legal exposure and protect company interests.

Requirements

• Bachelor's degree in Law (LLB) or equivalent. LLM or additional legal qualifications will be an advantage.
• Minimum 10 years of relevant legal experience in the UAE.
• Previous experience with a UAE real estate developer is mandatory.
• Strong knowledge of UAE real estate laws, construction contracts, corporate laws, and commercial regulations.
• Practical experience dealing with Dubai Land Department (DLD), RERA, and relevant government authorities.
• Proven experience drafting and negotiating SPAs, joint venture agreements, development agreements, and construction contracts.
• Experience handling corporate legal matters, litigation, and dispute resolution.
• Strong legal drafting, negotiation, analytical, and communication skills.
• Ability to work independently and advise senior management on complex legal matters.
• Excellent English communication skills. Arabic proficiency will be an advantage.
